1. Agreement
These Terms of Service ("Terms") are between [legal entity] ("Upwarden", "we") and you or the entity you represent ("you"). By accessing the Upwarden website, the managed service ("Upwarden Cloud"), or by self-hosting Upwarden, you agree to these Terms.
2. The service
Upwarden is a dependency firewall available as a managed service (Upwarden Cloud) and as self-hosted software. Self-hosted use is additionally governed by the license in the software repository; in case of conflict for self-hosted use, the repository license controls.
3. Accounts & API keys
You are responsible for safeguarding account credentials and vk_ API keys, for activity under your account, and for your team members' access. Notify us promptly of any unauthorised use.
4. Acceptable use
You agree not to misuse the service — including attempting to breach tenant isolation, circumvent rate limits or quotas, or use the service to violate applicable law or third-party rights.
5. Plans, fees & billing
Paid plans (Team, Org) are billed per seat as shown on the pricing page; annual billing carries the stated discount. Enterprise is governed by a separate order form. Fees are exclusive of taxes unless stated. [Refund / proration / non-payment terms to be defined.]
6. Beta / early access
Features marked beta or early access are provided "as is", may change or be withdrawn, and may carry separate terms.
7. Intellectual property
Upwarden and its licensors retain all rights in the service and brand not expressly granted. Self-hosted rights are as stated in the repository license.
8. Disclaimers
Upwarden reduces supply-chain risk but does not guarantee detection of every malicious or vulnerable package. The service is provided "as is" without warranties except as required by law. [Confirm warranty scope.]
9. Limitation of liability
[To be defined — caps and exclusions, subject to mandatory local law.]
10. Term & termination
You may stop using the service at any time. We may suspend or terminate access for breach or as required by law. [Notice periods and effect of termination to be defined.]

We may update these Terms; material changes will be notified [by email / on this page]. Continued use after changes take effect constitutes acceptance.
12. Governing law & jurisdiction
These Terms are governed by the laws of [jurisdiction], with venue in [courts]. [Confirm.]
